FAQ – CapGain’s Asset Transfer Process

How does your process work?

  • You tell us details about the asset(s) you want to sell.
  • We email you a price offer.
  • You accept our offer and pay us a service fee.
  • You mail us your original stock certificate (and any related documents) and a signed copy of CapGain Solutions’ Binding Asset Transfer Agreement (BATA).
  • We mail you the counter-signed BATA and a check to pay for your asset.  Save this evidence of sale with your accounting and tax records.

Optionally, we can give you a legal/accounting opinion on the validity of the sale process for your tax records.

What if I lost my stock certificate?

You will need to fill out an affidavit of stock certificate loss and provide some evidence that you do own the asset you wish to sell. Contact us to discuss your situation.

Is my information confidential?

Yes,  we will send you a signed non-disclosure agreement (NDA) upon request.

How do I submit my documentation service fee to CapGain Solutions?

If you accept our offer price for your assets, determined by our proprietary valuation algorithm, please visit our Payment Page where you can pay using PayPal. If you do not have a PayPal account, you can still pay through PayPal with a credit card.

Is CapGain an accredited or qualified investor, as this is a requirement of my transfer?

Yes, CapGain Solutions is both accredited and qualified.  We can provide you with documentation on request.

Will CapGain Solutions be the purchaser of my securities?

CapGain Solutions or an equally accredited / qualified assignee.

What type of representations and warranties do I have to make?

You need to warrant that:

  • you are the lawful owner of the assets
  • that the assets have not been leveraged or sold previously
  • if you were a major and / or controlling shareholder that there are no taxes due
  • that all relevant transfer restrictions have been disclosed
  • etc

How long will the sale process take?

We strive to email you a purchase offer within 24 hours of your offering to sell us your asset. If you accept our offer, the entire transaction typically takes less than a week. For a small extra charge, the transaction can be done in 24-48 hours, depending on your location.

How is the offer price set?

Our proprietary algorithm values your asset(s) and determines the price we will be willing to pay. For most assets, the purchase price is under $100.  If you feel there are extenuating circumstances making your assets worth materially more than our offer, please contact us.

We consider numerous factors, including the following:

Total capital raisedHow much capital has been raised, at what valuation and when?
Types of Securities IssuedIs the security being purchased debt or equity? What are the rights and preferences? What are the restrictions on transfer?
Investor groupAre the investors the founders, angels, or institutional investors?
Brand or IP valueWhat is the status of patents or trademarks? Is there any other IP such as brand recognition?
Availability of current informationCan we compile and independently verify the above information?

Is the company operating updated website, accurate contact info, active board of directors?
Cash Flow statusIs the asset currently generating cash flow? Is it EBITDA positive?
Credible potential for future value Are there events in the future that might make the underlying asset more valuable?
Liquidity event probabilityWhat is the probability that a liquidity event will happen?
Percent ownershipWhat is the percent ownership associated with the assets? For example how many shares are outstanding and what is the number of fully diluted shares ?
Status of state and federal filingsAre filings current?
Management TeamIs the management team in place? Are team members being compensated? Are they working other outside projects?

 

But the price you are offering is too low because of X. Can I negotiate?

If you have clear evidence your asset is worth more than our offer price, we are willing to negotiate.  See how we determine our offer prices.

After I have agreed to the sale, how do I pay your service fee?

Pay online via credit card or PayPal when you accept our offer.  Professional investment firms can request an invoice.

After we complete the sale, how do I receive the purchase price?

We will send you a check and the fully executed Binding Asset Transfer Agreement. These will serve as the appropriate documentation of your sale and will establish the date of the transaction.

Do I receive a bill of sale?

You receive a fully executed Binding Asset Transfer Agreement and a check for the sale price.  Upon request, CapGain Solutions also will provide a bill of sale at no additional cost.

Will you allow me to buy back my asset if things turn out well?

As part of a bona fide, arms-length purchase transaction, CapGain Solutions does not enter into formal agreements or informal understandings regarding buy-back rights.  All sales are final.
